Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites and online properties operated by MarginTop Solutions Pvt. Ltd. (“MarginTop Solutions”, “we”, “us”), including https://margintopsolutions.com(the “Site”). By using the Site, you agree to these Terms.

1. About MarginTop Solutions

MarginTop Solutions provides IT outsourcing, custom software development, web and mobile applications, MVP builds, AI/ML solutions, and related professional services from our offices in Lalitpur, Nepal. Formal project work is governed by separate statements of work, proposals, or master service agreements (“Client Agreements”). If a Client Agreement conflicts with these Terms, the Client Agreement controls for that engagement.

2. Acceptable use of the Site

You agree not to:

• Misuse the Site, attempt unauthorized access, disrupt services, or probe systems without permission.
• Submit unlawful, misleading, defamatory, or infringing content through forms or uploads.
• Scrape the Site in a way that impairs performance or violates robots.txt or applicable law (legitimate search and AI crawlers that follow our published robots rules are welcome).
• Use the Site to send spam or automated solicitations unrelated to a genuine business inquiry.

3. Intellectual property

Site content—including branding, text, graphics, logos, and software—is owned by MarginTop Solutions or its licensors and protected by applicable intellectual property laws. You may view and share links for legitimate business or informational purposes. You may not copy, reverse engineer, or commercially republish Site materials without our prior written consent, except as allowed by law.

Deliverables created under a Client Agreement are owned or licensed as stated in that agreement.

4. Inquiries, proposals, and no obligation

Information on the Site is for general informational purposes and does not constitute a binding offer. Quotes, timelines, and scopes become binding only when confirmed in a Client Agreement. Free consultations do not create an agency, employment, or partnership relationship.

5. Accounts and portals

Access to admin, employee, or other authenticated portals is limited to authorized users. You are responsible for safeguarding credentials and for activity under your account. We may suspend access for security or policy violations.

6. Third-party services

The Site may reference or link to third-party tools, social networks, or resources. We are not responsible for third-party content, availability, or practices.

7. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MarginTop Solutions AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM SITE USE IS LIMITED TO ONE HUNDRED US DOLLARS (USD $100) OR THE MINIMUM AMOUNT REQUIRED BY LAW, WHICHEVER IS GREATER. Liability for paid Client Agreements is governed exclusively by those agreements.

9. Indemnity

You agree to indemnify and hold harmless MarginTop Solutions from claims arising out of your misuse of the Site or violation of these Terms, to the extent permitted by law.

10. Privacy

Personal information is handled as described in our Privacy Policy.

11. Governing law

These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Courts in Kathmandu Valley / Bagmati Province shall have exclusive jurisdiction over disputes arising from Site use, unless a Client Agreement specifies otherwise.

12. Changes

We may update these Terms periodically. The “Last updated” date shows the latest revision. Continued use of the Site after changes constitutes acceptance of the updated Terms.
